Terms of Service
Effective date: July 20, 2026
1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and Emerge Digital governing your access to and use of Content Lab.
“Content Lab” includes our website, customer application, content-discovery tools, artificial-intelligence features, article workflows, exports, and related services.
By creating an account, purchasing a subscription, or using Content Lab, you agree to these Terms, the Privacy Policy, the Acceptable Use Policy, and the Cancellation and Refund Policy.
If you use Content Lab on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.
If you do not agree, do not use Content Lab.
2. Eligibility and United States Availability
You must:
- Be at least 18 years old.
- Be legally capable of entering a binding contract.
- Be located in the United States.
- Provide accurate account and billing information.
- Use Content Lab only in compliance with applicable law.
Content Lab is not offered to customers located outside the United States.
We may refuse, suspend, or close an account if eligibility information is inaccurate or if use from outside the United States creates legal, security, payment, or operational risk.
3. Accounts
You are responsible for:
- Maintaining accurate account information.
- Protecting your password.
- Restricting access to your account.
- Activities performed through your account.
- Promptly notifying us of suspected unauthorized access.
Accounts are registered using an email address, not a username.
You may not:
- Share an account with unauthorized users.
- Create accounts using false information.
- Create multiple accounts to obtain repeated free trials.
- Transfer or sell an account.
- Attempt to access another customer’s workspace or content.
Content Lab currently supports one owner and one site per workspace unless your plan or a later product version states otherwise.
4. Content Lab Service
Content Lab is an editorial assistance tool for independent website owners.
Features may include:
- Website and sitemap analysis.
- Writing-voice and topic inference.
- Discovery-query suggestions.
- Content-opportunity discovery.
- Opportunity scoring.
- Article guidance.
- Brief generation.
- Draft generation.
- Full and section-specific revisions.
- Manual editing.
- Version history.
- Quality review.
- Image-prompt generation.
- HTML and Markdown export.
Content Lab does not automatically publish content in the initial product version. You control whether, when, and where content is published.
Features and limits may vary by plan.
5. Free Trial
Eligible customers may receive a seven-day free trial.
The trial:
- Requires no payment card.
- Includes one site.
- Includes two complete article generations.
- Includes one discovery scan.
- Begins only after email verification and final onboarding confirmation.
- Does not create a paid subscription automatically.
- Does not charge automatically.
- Requires explicit Stripe Checkout before a paid subscription begins.
Trial eligibility is generally limited to one verified user and one root domain.
We may deny or revoke a trial when we reasonably believe a customer is attempting to obtain repeated trials, evade limits, commit fraud, or abuse the service.
6. Subscriptions and Automatic Renewal
Paid subscriptions are offered on a monthly or annual basis as displayed during Checkout.
Before you subscribe, we will display:
- Plan.
- Price.
- Billing frequency.
- Usage limits.
- Expected first charge.
- Automatic-renewal terms.
- Cancellation method.
- Refund policy.
By affirmatively completing Checkout, you authorize recurring charges at the displayed price and frequency until you cancel.
Monthly subscriptions renew each month.
Annual subscriptions renew each year.
You may cancel online at any time through the Billing section or connected Stripe customer portal.
Cancellation takes effect at the end of the current paid billing period unless applicable law requires otherwise. You retain paid access until that date.

7. Founding Plan
Founding pricing is limited to the first 25 qualifying customers whose Founding subscription is successfully activated.
The following do not claim a Founding slot:
- Registration.
- Email verification.
- Trial activation.
- Invitation creation.
- Starting Checkout.
- Abandoning Checkout.
A Founding slot is claimed only after successful subscription activation.
Continuously subscribed Founding customers retain their Founding price, subject to taxes and changes required by law.
If a Founding subscription fully ends, the former customer is not guaranteed the same Founding price if they later return.
8. Fees, Taxes, and Payment
You agree to pay the fees displayed during Checkout.
Prices are stated in U.S. dollars unless otherwise indicated.
You are responsible for applicable taxes except taxes imposed on Emerge Digital’s income.
Payments are processed by Stripe. Your use of Stripe may also be governed by Stripe’s terms and privacy policy.
If payment fails, we may:
- Retry payment.
- Request an updated payment method.
- Restrict new provider-backed actions.
- Suspend or terminate paid access after applicable notice or grace periods.
We will provide notice of material price changes and obtain consent or provide cancellation and refund rights where required by law.
9. Plan Limits and Credits
Plans may limit:
- Sites.
- Discovery scans.
- Enabled discovery queries.
- Opportunities scored per scan.
- Article generations.
- AI-assisted revisions.
- Other provider-backed actions.
An article credit may include the configured combination of:
- Brief generation.
- Initial draft.
- Quality review.
- Image prompt.
- Included AI-assisted revisions.
Manual guidance, manual edits, comparison, approval, restoration, and export do not consume AI credits unless clearly disclosed otherwise.
Additional AI-assisted revisions may consume another article credit after the included allowance is exhausted. Content Lab will display the applicable cost and require confirmation before consuming an additional credit.
Credits:
- Reset according to the applicable billing period.
- Do not roll over unless expressly stated.
- Are not cash.
- Cannot be transferred.
- Have no cash-redemption value.
Permanent technical failures should refund reserved credits in accordance with the implemented credit system. Successful AI work may count against usage even if you later discard the result.
10. Customer Content and Ownership
As between you and Emerge Digital, you retain ownership of Customer Content you submit to Content Lab.
You grant Emerge Digital a limited, nonexclusive, worldwide license to host, copy, process, transmit, format, analyze, and display Customer Content only as reasonably necessary to:
- Provide Content Lab.
- Perform requested AI and discovery tasks.
- Maintain backups.
- Prevent abuse.
- Provide support.
- Comply with law.
- Enforce these Terms.
This license ends when the content is deleted from active systems, subject to limited backup, legal, security, billing, and fraud-prevention retention.
You represent that:
- You have the rights necessary to submit Customer Content.
- Processing Customer Content as described does not violate law or third-party rights.
- Your instructions do not require Content Lab to create unlawful or infringing material.
- You will not submit secrets, credentials, or unnecessary sensitive information.
11. Public Websites and Reference Sources
Content Lab may retrieve publicly accessible pages and other sources at your direction.
You are responsible for:
- Choosing lawful sources.
- Respecting copyright and other rights.
- Following applicable website terms.
- Reviewing quotations and attribution.
- Confirming that your use of source material is lawful.
- Avoiding instructions to bypass access controls.
Public availability does not necessarily mean content is free from copyright or other restrictions.
Content Lab’s retrieval of a public source does not grant you ownership or permission to republish it.
12. Artificial Intelligence
Content Lab uses artificial intelligence to assist with research and writing.
AI output may:
- Be incorrect.
- Be incomplete.
- Be outdated.
- Contain fabricated facts or citations.
- Contain biased or unsuitable language.
- Resemble output provided to others.
- Require substantial editing.
- Be ineligible for intellectual-property protection in some circumstances.
You must independently review:
- Facts.
- Sources.
- Quotations.
- Claims.
- Product statements.
- Health, legal, tax, financial, or safety implications.
- Copyright and trademark issues.
- Advertising compliance.
- Suitability for your audience.
You remain responsible for content you publish.
Emerge Digital does not guarantee:
- Search-engine rankings.
- Traffic.
- Revenue.
- Leads.
- Conversions.
- Originality.
- Factual accuracy.
- Legal compliance.
- Platform acceptance.
- Any particular business result.
13. Acceptable Use
You must comply with the Acceptable Use Policy.
We may investigate suspected violations and restrict or suspend use when reasonably necessary to protect customers, service providers, Emerge Digital, or the public.
14. Emerge Digital Intellectual Property
Content Lab, including its software, interfaces, workflows, branding, prompts, templates, documentation, and underlying technology, is owned by or licensed to Emerge Digital.
Except for the limited right to use Content Lab under these Terms, no right or license is transferred to you.
You may not:
- Copy or resell Content Lab.
- Reverse engineer the service except where law prohibits that restriction.
- Circumvent technical limits.
- Extract system prompts.
- Use automated means to overload or replicate the service.
- Remove proprietary notices.
- Use Emerge Digital branding without permission.
15. Feedback
If you provide feedback or suggestions, you grant Emerge Digital a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.
This does not grant us ownership of your Customer Content.
16. Third-Party Services
Content Lab depends on third-party services, including AI, search, hosting, email, payment, security, and monitoring providers.
Third-party services may:
- Experience outages.
- Change features.
- Change prices.
- Change terms.
- Restrict access.
- Produce inaccurate results.
Emerge Digital is not responsible for third-party services beyond our obligations under applicable law.
17. Beta Features
Some features may be identified as beta, preview, experimental, or early access.
Such features may:
- Change without notice.
- Contain errors.
- Be discontinued.
- Have incomplete documentation.
- Be subject to additional limits.
Do not rely on beta features for critical or irreversible decisions.
18. Availability and Changes
We may modify Content Lab to:
- Add or remove features.
- Improve security.
- Address provider changes.
- Comply with law.
- Prevent abuse.
- Maintain financial sustainability.
We do not guarantee uninterrupted or error-free availability.
When a change materially affects a paid subscription, we will provide notice or remedies required by law.
19. Suspension and Termination
We may suspend or terminate access if:
- You violate these Terms or the Acceptable Use Policy.
- Payment remains overdue.
- Use creates security, legal, or operational risk.
- You attempt to evade limits.
- You interfere with Content Lab or other customers.
- Continued service would violate law or provider requirements.
When reasonably possible, we will provide notice and an opportunity to cure.
We may act immediately when necessary to prevent harm, fraud, security incidents, unlawful activity, or material service disruption.
You may stop using Content Lab and cancel your subscription at any time.
20. Account Closure and Content Retention
After trial expiration, subscription expiration, or account closure:
- New provider-backed actions may be disabled.
- Existing content may remain readable and exportable for up to 30 days.
- Content may be scheduled for deletion 90 days after access ends.
- Certain records may remain as required for billing, taxes, fraud prevention, security, dispute resolution, or legal compliance.
- Backup copies may remain until overwritten through ordinary backup rotation.
You should export content you wish to retain before the applicable deletion date.
21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENT LAB IS PROVIDED “AS IS” AND “AS AVAILABLE.”
EMERGE DIGITAL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
EMERGE DIGITAL DOES NOT WARRANT THAT CONTENT LAB OR GENERATED CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, ORIGINAL, OR SUITABLE FOR A PARTICULAR PURPOSE.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERGE DIGITAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, TRAFFIC, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO CONTENT LAB.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERGE DIGITAL’S TOTAL LIABILITY ARISING FROM OR RELATED TO CONTENT LAB WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO EMERGE DIGITAL FOR CONTENT LAB DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
23. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Emerge Digital and its owners, employees, contractors, and service providers from claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from:
- Your Customer Content.
- Content you publish.
- Your use of public sources.
- Your violation of these Terms.
- Your violation of law.
- Your infringement of third-party rights.
- Your misuse of Content Lab.
This obligation does not apply to the extent a claim results from Emerge Digital’s unlawful conduct.
24. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
Any dispute arising from these Terms or Content Lab must be brought in a state or federal court located in Suffolk County, New York, unless applicable law requires otherwise.
You and Emerge Digital consent to the personal jurisdiction of those courts.
25. Electronic Communications
You consent to receive transactional electronic communications relating to:
- Your account.
- Security.
- Email verification.
- Password reset.
- Trials.
- Jobs.
- Billing.
- Subscriptions.
- Cancellation.
- Policy changes.
- Content retention and deletion.
You may not opt out of communications necessary to operate your account, but you may close your account.
Marketing communications, if any, will provide legally required opt-out options.
26. Changes to These Terms
We may update these Terms.
If a change is material, we will provide notice as required by law. Changes apply prospectively from the stated effective date.
Continued use after the effective date constitutes acceptance where permitted by law. If affirmative consent is required, we will request it.
27. Miscellaneous
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cancellation and Refund Policy, and any plan-specific terms presented during Checkout, form the complete agreement regarding Content Lab.
If one provision is unenforceable, the remaining provisions remain effective.
Our failure to enforce a provision is not a waiver.
You may not assign your rights or obligations without our written consent. Emerge Digital may assign these Terms in connection with a merger, reorganization, financing, sale, or transfer of the business or service.
